In the United States, the process of conducting a PPA is typically conducted in accordance with the Financial Accounting Standards Board's ("FASB") Statement of Financial Accounting Standards No. 141 (revised 2007) “Business Combinations” (“SFAS 141r”) and SFAS 142 “Goodwill and Other Intangible Assets” (“SFAS 142”). Effective for financial statements issued for interim and annual periods ending after September 15, 2009, the FASB "Accounting Standards Codification" ("ASC") reorganizes the FASB statements and represents a single authoritative source of U.S. accounting and reporting standards for nongovernmental entities. The set of guidelines prescribed by SFAS 141r are generally found in ASC Topic 805. Outside the United States, the International Accounting Standards Board governs the process through the issuance of IFRS 3. Purchase price allocations are performed in conformity with the purchase method of merger and acquisition accounting. In the United States, a second method (known as the pooling or pooling-of-interests method) was discontinued after the issuance of the Statement of Financial Accounting Standards No. 141 “Business Combinations” (“SFAS 141”) and SFAS 142. Example: A company wishes to acquire a particular target company for a variety of reasons. After much negotiation, a purchase price of $30B is agreed upon by both sides. As of the acquisition date, the target company reported net identifiable assets of $8B on its own balance sheet. Before the target company can complete the acquisition, the target must appraise the assets and liabilities being acquired to determine their Fair Value ("FV") -- the price that would be received to sell an asset or paid to transfer a liability in an orderly transaction between market participants at the measurement date. The acquirer hires an appraisal firm (typically an external accounting firm or a valuation advisor) who reports that the FV of the net assets is $24B. The difference between the $8 and $24 is $16B in write-up -- the values of the net identifiable assets are in effect increased to 3 times the value reported on the original balance sheet. The difference between the $24B and $30B is $6B in goodwill acquired through the transaction—the excess of the purchase price paid over the FV of the net identifiable assets acquired. Finally, the acquirer adds both the value of the written-up assets ($24B) as well as the goodwill ($6B) onto the balance sheet, for a total of $30B in new net assets on the acquirer's balance sheet. Collectively, the process of conducting the appraisal, reporting the FV of the assets and liabilities, the allocation of the net identifiable assets from the old balance sheet price to the FV, and the determination of the goodwill in the transaction, is referred to as the PPA process. Note that a purchase price may be less than the target's balance sheet value for a variety of reasons, which can lend itself to a write-down of net assets. The process of valuing goodwill, while a component of the PPA process, is governed through goodwill accounting.

Does that mean the price is the Enterprise Value?” The Basic Definitions Equity Value: Value of ALL the company’s assets, but only to common equity investors (shareholders). Enterprise Value: Value of ONLY the core business operations, but to ALL investors (equity, debt, etc.). So when you calculate Enterprise Value, starting with Equity Value… Add Items When: They represent other investors (Debt investors, Preferred Stock investors, etc.) or long-term funding sources (Capital Leases, Unfunded Pensions) Subtract Items When: They are not related to the company’s core business operations (side activities, cash or excess cash, investments, real estate, etc.) The Confusion The problem is that many sources say Enterprise Value is what it “really costs to acquire a company.” But that’s not exactly true – yes, sometimes Enterprise Value is closer, but it depends on the deal terms and the items in Enterprise Value. We know, WITH CERTAINTY, that if you acquire 100% of a company, you must pay for 100% of its common shares. So the Purchase Equity Value is sort of a “floor” for the purchase price in an M&A deal. But should you really add the seller’s Debt, Preferred Stock, and other funding sources, and subtract 100% of the seller’s cash balance to determine the “real price”? There are many problems with that approach, but we’ll look at two of them here: PROBLEM #1: Does Debt really increase the purchase price? It depends, because debt can be either “assumed” (kept) or “refinanced” (replaced with new debt or paid off). Debt is Assumed: Does not increase the amount the buyer “really pays” for the seller. Debt is Repaid with the Buyer’s Cash: Does increase the amount the buyer “really pays”. Existing Debt is Replaced with New Debt: Increases the amount the buyer “really pays,” but the buyer still isn’t paying more cash. PROBLEM #2: Does Cash really reduce the purchase price? A buyer can’t just “take” a seller’s entire cash balance following a deal – all companies need a certain “minimum cash balance” to keep operating, paying the bills, etc. That portion of cash is actually a core business operating asset. Enterprise Value: As a simplification, we ignore the minimum cash and subtract all cash instead. So if a company operating by itself always needs some minimum amount of cash, it certainly still needs a minimum amount of cash in an M&A deal. Other Complications Transaction Fees: These always exist, and will always increase the price the buyer pays (lawyers, accountants, bankers, etc.). Unfunded Pensions, Capital Leases, etc.: These don’t necessarily have to be “paid” or “repaid” upon change of control… so they may not even affect the price, even though they factor into Enterprise Value. Extra Cash: What if the buyer’s cash + seller’s cash are used to fund the deal? Then the real price paid may not even be comparable to the seller’s Equity Value or Enterprise Value. The Bottom Line You have to distinguish between the *valuation* of a company or deal and the *actual price paid*. Equity Value and Enterprise Value are useful for valuation, but less useful for determining the real price paid. The real price paid may be between Equity Value and Enterprise Value, above them, or even below them, depending on the terms of the deal – due to the treatment of debt and cash, fees, and liabilities that don’t affect the cash cost of doing the deal. When you see language like “Including assumption of net debt,” that means the approximate Purchase Enterprise Value for the deal, because they are calculating it as Purchase Equity Value + Debt – Cash. But it’s still not what the buyer actually pays – it’s just a way to value the deal and get multiples like EV / EBITDA. The decision to buy Alaska from Russia in 1867 has mostly been considered a good deal for the United States. The U.S. bought Alaska for $7.2 million, which in 2015 dollars is actually $180.5 million, and that still sounds like a good deal when you consider that the state produces $10s of billions of dollars worth of goods and services every year. However, at least one economist may disagree with that claim that it was actually a good deal. Here’s the story of the Alaska Purchase Once upon a time, there was a country called Russia that grew and expanded its empire across the North American continent. From 1733 to 1867, Russia colonized as far south as modern-day California and two ports in Hawaii. Their North American settlements were called Russian America. However, in 1856, Russia was broke and weakened after the Crimean War, and they also feared that Russian America might be an easy target for the increasing British settlers in British Columbia in any future war that might break out. Resources available there were increasingly less profitable, and plus, hardly any Russians lived there anyway. Therefore, they looked to get rid of Russian America by selling it to the United States. The American Civil War delayed the sale, but after the war ended, U.S. Secretary of State William Seward met in Washington with Russian Minister Eduard de Stoeckl to negotiate a deal. After staying up all night negotiating, the two agreed to a deal, signing a treaty at 4 a.m. on March 30, 1867, with the United States buying the territory for $7.2 million, or about 2 cents per acre. (50 cents an acre in today’s money due to inflation). The Senate approved the purchase on April 9th, and President Andrew Johnson signed the treaty on May 28th. Americans chose to call the area Alaska, an Aleut name. The land, an area over twice the size of Texas, officially joined the country on October 18, 1867. Some people were angry and in shock. These critics of the purchase of Alaska even famously called it “Seward’s Folly,” or “Seward’s Icebox,” basically saying that was a lot of money to spend for an area with not much to offer. They argued no one would be able to move there and it’d also be hard to control and defend, being so far away. Yet other Americans said it was a wise move, not just for the potential resources hidden there but for the potential to next try to take over British Columbia. After the purchase, pretty much all of the Russians who lived in Alaska moved back to Russia. Not many Americans lived there either. That is, until Joe Juneau discovered gold there in 1880, and Americans finally began to migrate there. Later they came for the oil, and today Alaska is a very desirable place for many Americans to live, so much more than just an “icebox.” Was the purchase of Alaska really a good deal, or did Seward actually get ripped off? For the past 125 years or so, most people have agreed that it was a very good deal. However, in 2009, David Barker, an economist at Iowa University, shook things up when he made the controversial claim that challenged that narrative. Barker claimed that the Alaska purchase wasn’t really that good of deal after all, and that the economic benefits from Alaska could have been there for the United States without having to control it all along. Ultimately, though, I see Alaska joining the United States as a fantastic thing. Without that happening, we likely today wouldn’t have one of my favorite shows on television- Alaska State Troopers. An asset purchase agreement (APA) is an agreement between a buyer and a seller that finalizes terms and conditions related to the purchase and sale of a company's assets. It's important to note in an APA transaction, it is not necessary for the buyer to purchase all of the assets of the company. In fact, it's common for a buyer to exclude certain assets in an APA. Provisions of an APA may include payment of purchase price, monthly installments, liens and encumbrances on the assets, condition precedent for the closing, etc. An APA differs from a stock purchase agreement (SPA) where company shares, title to assets, and title to liabilities are also sold. In an APA, the buyer must select specific assets and avoid redundant assets. These assets are itemized in a schedule to the APA. The buyer in a SPA is purchasing shares of the company. In this case, itemization is not necessary due to transfer of company's ownership occurs as is. The APA is the legal mechanism for executing a corporate merger or acquisition. The oil and gas industry does not distinguish between an asset and stock purchase in naming its related purchase agreement. In this industry, whether purchasing assets or stock, the definitive agreement is referred to as the Purchase and Sale Agreement (PSA). Defining and controlling behavior is a major objective of the APA. The buyer must represent its authority to purchase the asset. The seller must represent its authority to sell the asset. Additionally, the seller represent that the purchase price of the asset is equal to its value, and that the seller is not in financial or legal trouble. In the context of a merger or acquisition transaction, asset purchase agreements have a distinct set of advantages and disadvantages compared to using an equity (or stock) purchase agreement or a merger agreement. In an equity or merger acquisition, the purchaser is guaranteed to receive all of the target's assets without exception, but also automatically assumes all of the target's liabilities. An asset purchase agreement, alternatively, allows not only for a transaction where only some of the assets are transferred (which is sometimes desired) but also allows the parties to negotiate which liabilities of the target are expressly assumed by the purchaser, and allows the purchaser to leave behind those liabilities it does not wish to accept (or does not know about). A disadvantage of an asset purchase agreement is that it can often result in a greater number of change of control issues. For example, contracts held by a target, and acquired by a purchaser, will often require the consent of the counterparty in the context of an asset deal, whereas it is less common that such consent will be needed in connection with an equity sale or merger agreement.

http://www.charter-home.com/ So what should you expect for closing costs? Well, closing costs are typically different for buyers and sellers. There are different fees that each are going to incur and should plan for. To The Seller Sellers are usually responsible for sales commissions. That would be the commission that is paid to the listing agent (agent representing the seller) as well as the buyer’s agent. The buyer doesn’t see that cost. That is typically arranged when a property owner lists their property for sale. That cost is negotiated at that point in time. As well, it’s transparent to a buyer when they are purchasing a property and the transaction is going through escrow. To The Buyer Buyers are responsible for their own loan fees. The amount of money that is involved when you finance a property is going to include quite a few different fees that’s associated with getting a loan. That can include getting an appraisal, fees to the lender, or mortgage insurance – there’s quite a few costs associated with the loan. Neither of those fees – the commissions nor the loan related fees – actually appear on a purchase contract. Negotiate the Middle Ground For instance, if you’re a buyer and you’re writing an offer, you’re going to identify the fees that are typically negotiated between buyer and seller and not include the others that are not included in the contract. That is going to include fees like an escrow fee because there is going to be a neutral third party escrow company that’s going to manage the transaction. Another fee is title insurance. Title insurance is going to protect the owner from challenges to who is the owner of the property. That is protecting the title of the property – meaning the buyer is protected from claims of ownership against the property that could surface in the future – as does the lender. So the most common expenses – once you take out loan related expenses that don’t appear in the contract that are pre-negotiated and also don’t appear in the contract – there will be the following: ~Escrow fee ~Title insurance ~Home warranty ~Transfer tax (similar to sales tax) These fees get to be arranged as to who will pay what when a buyer is presenting an offer. So the offer will ultimately become a contract if the offer is accepted or there will be counter offers. But when a buyer is writing an offer – they are going to identify who pays what. But when you are dealing with closing costs there is what is considered “ordinary and customary”. That is usually a county by county tradition. In fact, in one county or another, it would be something like the following: ~Escrow fees would be split ~Title insurance for the buyer would be paid by the seller ~Title insurance for the lender would be paid by the buyer/borrower ~County transfer tax is commonly paid by the seller ~Home warranty is always negotiable. The buyer may simply ask to have it included.
